These Terms of Service ("Terms") govern your use of Vigil ("the Service"), operated by Vigil ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Vigil, you confirm that you are at least 18 years old and agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Service Description
Vigil is a personal recruiting assistant that helps professionals manage their recruiting pipeline. The Service connects to your email and calendar accounts (with your consent) to identify, categorize, and organize recruiting-related communications and opportunities.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and complete registration information
- Keep your account credentials secure
- Notify us immediately of any unauthorized access
- Not share your account with others
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to send spam or unsolicited communications
- Resell or redistribute the Service without our written consent
- Use automated tools to scrape or extract data from the Service
5. Subscription and Billing
Vigil offers paid subscription plans. By subscribing, you agree to pay the fees associated with your selected plan. Subscriptions renew automatically unless canceled before the renewal date.
We may change pricing with 30 days' notice. Price changes will apply at your next renewal period. Refunds are handled on a case-by-case basis.
6. Intellectual Property
The Service, including its design, code, features, and content, is owned by Vigil and protected by intellectual property laws. You retain ownership of your personal data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:
- The Service will be uninterrupted or error-free
- All recruiting emails will be correctly identified and categorized
- Career advice or recommendations will lead to specific outcomes
- Third-party integrations will always be available
8. Limitation of Liability
To the maximum extent permitted by law, Vigil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, missed opportunities, or data loss, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
9. Termination
You may cancel your account at any time through the Settings page or by contacting us. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account termination, in accordance with our Privacy Policy.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Delaware.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
